1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the Kops platform available at getkops.com (the "Service"), operated by SAPE2SELL, a sole proprietorship (Entrepreneur Individuel) registered in France under SIREN 923 752 596, owned by Alexandre VARGAS LOPEZ, located at 984 Chemin de l'Hubac, 06740 Châteauneuf-Grasse, France (the "Operator").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of the Service

Kops is a SaaS platform that monitors second-hand marketplaces in real time. The Service provides:

• Real-Time Feed — Aggregated listings from supported marketplaces.
• Advanced Filters — Customizable filters to match specific products by brand, size, price, and other criteria.
• Autocop Mode — Automated purchasing of matched items on supported marketplaces.
• Multi-Account Management — Manage multiple marketplace accounts within a single Kops dashboard.

The Operator does not sell goods directly. Kops acts as a monitoring and automation tool. All purchases made through the Autocop feature are concluded between you and the relevant marketplace seller.

3. Account Registration

To use the Service, you must:

• Be at least 16 years old.
• Provide accurate and complete registration information.
• Keep your login credentials confidential.
• Notify us immediately of any unauthorized access to your account.

You are solely responsible for all activity under your account. The Operator reserves the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions & Billing

4.1 Plans & Pricing

The Service is offered on a subscription basis. Available plans and pricing are displayed on the platform and may change at any time. You will be notified of price changes before your next billing cycle.

4.2 Payment

Payments are processed securely through Stripe. By subscribing, you authorize recurring charges to your payment method. The Operator does not store your full payment card details.

4.3 Refunds

Subscriptions are non-refundable, except where required by applicable law. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until then.

4.4 Right of Withdrawal (EU)

In accordance with Article L.221-28 of the French Consumer Code, by subscribing and using the Service immediately, you expressly acknowledge and agree that the 14-day right of withdrawal does not apply, as the provision of the digital service begins immediately upon subscription with your prior express consent.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Resell, sublicense, or share your account credentials with third parties.
• Use the Service to engage in market manipulation, fraud, or any activity that violates marketplace terms of service.
• Interfere with or disrupt the integrity or performance of the Service.
• Circumvent any security or access-control measures of the Service.

6. Marketplace Accounts & Third-Party Services

By linking your marketplace accounts to Kops, you acknowledge that:

• You are the legitimate owner of those accounts and authorized to use them.
• You bear full responsibility for compliance with each marketplace's terms of service.
• The Operator is not liable for any suspension, ban, or penalty imposed by third-party marketplaces.
• The Operator does not guarantee the availability, accuracy, or completeness of data from third-party marketplaces.

7. Autocop & Automated Purchasing

The Autocop feature initiates purchases on your behalf based on the filters you configure. By enabling Autocop:

• You authorize the Service to act on your behalf and execute purchases using your linked marketplace accounts and payment methods.
• You acknowledge that automated purchases are binding transactions between you and the marketplace seller.
• The Operator is not responsible for unwanted purchases resulting from incorrect filter configuration.
• The Operator does not guarantee that every matched item will be successfully purchased.

8. Intellectual Property

All content, design, code, and features of the Service are the exclusive property of the Operator and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.

The names "Kops" and "SAPE2SELL", associated logos, and visual identity are trademarks of the Operator. Unauthorized use is prohibited.

9. Limitation of Liability

To the maximum extent permitted by French and applicable EU law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• The Operator shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• The Operator's total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.
• The Operator is not liable for losses caused by marketplace downtime, third-party errors, or failed automated purchases.

10. Suspension & Termination

The Operator may suspend or terminate your account if you:

• Violate these Terms or applicable laws.
• Engage in abusive or fraudulent activity.
• Fail to pay subscription fees.

You may terminate your account at any time by contacting [email protected]. Upon termination, your access to the Service will be revoked and your data will be deleted in accordance with our Privacy Policy.

11. Modifications

The Operator reserves the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with French law. Any dispute arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of Grasse (Alpes-Maritimes), France.

In accordance with Articles L.612-1 and R.612-1 of the French Consumer Code, you may submit a dispute to a consumer mediator. The European Commission also provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.
